1. The Service

Valo Finance is a subscription-based web application for a single business owner to record income, expenses, assets and daily ledger entries. The Service is provided on a monthly subscription basis as described on our pricing page.

2. Authority to use the Service

You confirm that you are of legal age to enter into a contract, and that if you are using the Service on behalf of an organisation, you have the authority to bind that organisation to these Terms.

3. Your account

You are responsible for keeping your sign-in credentials confidential and for all activity that happens under your account. You agree to provide accurate information and to keep it up to date. Notify us immediately if you believe your account has been compromised.

4. Acceptable use and misuse

You must not misuse the Service. In particular, you must not:

• use the Service for any unlawful purpose, including fraud or spam;
• infringe the intellectual property rights of others;
• interfere with the security or operation of the Service, including introducing malware, probing or scanning for vulnerabilities, or scraping content from the Service;
• reverse engineer the Service, resell or redistribute access to it, or circumvent any technical limits we apply.

5. Intellectual property

We retain all ownership of the Service and its intellectual property, including the software, design, documentation and branding. We grant you a limited, non-exclusive, non-transferable right to use the Service for as long as your subscription is active. You retain ownership of the financial data you enter; you grant us a limited licence to host and process that data solely to provide the Service to you.

6. Service level

The Service is provided "as is". We do not guarantee that the Service will be uninterrupted, error-free, or that any defects will be corrected. We disclaim all implied warranties, including merchantability and fitness for a particular purpose, to the fullest extent permitted by law.

7. Payment and subscription terms

New subscriptions begin with a six (6) day free trial. Payment details are collected when you start the trial, but no charge is made during it. If you do not cancel before the trial ends, the paid monthly subscription begins automatically and your card is charged.

The Service is billed monthly in advance. Subscriptions renew automatically until cancelled. Payments are processed securely by Dodo Payments, our merchant of record; we never see or store your card or bank details. We remain responsible for the Service and customer support.

You may cancel at any time, from your profile in the app, and you keep access until the end of the period you paid for. Any taxes that apply to your purchase are shown or added in accordance with applicable law.

Cancelling stops future renewals and leaves your current access active through the paid billing period.

8. Suspension and termination

We may suspend or terminate your access to the Service if you materially breach these Terms, fail to pay fees when due, create a security or fraud risk, or repeatedly or seriously violate our policies. Where practicable we will give you notice before doing so.

You may stop using the Service and cancel your subscription at any time. When your access ends, you should export any data you want to keep; we may delete your data after a reasonable period following termination.

9. Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, consequential or special damages, including loss of profits, data or goodwill. Our total aggregate liability to you is limited to the subscription fees you paid to us in the six (6) months before the claim arose. Nothing in these Terms limits liability for fraud, or for death or personal injury caused by negligence, where such limitations are not permitted by law.

10. Indemnity

You agree to indemnify us against claims arising from the content you enter into the Service, your unlawful use of the Service, or your breach of these Terms.

11. General

We may update these Terms from time to time and will notify you of material changes within the app. We may assign our rights under these Terms in connection with a merger or acquisition; you may not assign your rights without our consent. Neither party is liable for delays caused by events beyond their reasonable control (force majeure). If any provision of these Terms is found unenforceable, the remainder stays in effect.
